Ms. Pastiu has expertise in the corporate securities area. She has counseled public companies, including financial institutions, Fortune 500 companies and small and mid-cap companies, on securities, banking regulatory and corporate matters, financial reporting, accounting, securities matters, SEC reporting (i.e. quarterly and annual reports, proxy statement and comment letters), compliance with NASDAQ regulations, executive compensation and governance matters. She has advised management and Board of Directors on fiduciary duties and related governance issues and been involved in capital raising efforts, including stock offerings, convertible preferred stock and rights offerings, as well as the client’s relationship with investment bankers and banking regulators. Ms. Pastiu has also drafted and negotiated merger agreements, stock and purchase agreements, joint venture agreements, distribution and licensing agreements, franchising agreements, and leasing agreements.
