Leigh Duff, Of Counsel
Mrs. Duff has diverse experience in financial services areas and expertise in general corporate practice, banking law, insurance law, regulatory matters and compliance issues, loan restructuring and workouts, and bankruptcy issues. She has provided guidance on legal issues involved in corporate objectives to ensure that actions are in accordance with a bank’s legal responsibilities to shareholders, consumers, government authorities, other corporate entities, and employees, and to avoid legal problems. Such work has included implementing policies and overseeing activities to ensure overall compliance with state and federal laws and regulations; Drafting terms and conditions, agreements and loan documents and reviewing contracts to minimize exposure to risk; Writing policies and procedures for internet banking, fair lending, cash management programs, Bank Secrecy, recordkeeping for wire transfers, and legal processing; Developed Compliance Manual, Bank Secrecy Program, Insider Policy, guidelines for FDICIA risk management, revised Community Reinvestment Act Policy, and format for responding to regulatory examinations which included tracking status of corrective action; Involved with financial institutions in implementing a loan documentation program and assisting in developing credit training manuals, reviewing products and advertisements, and coordinating a risk management program; Involved in merger of banks and acquisitions of branches, including filing for regulatory approval. She has counseled financial institutions in numerous areas including Truth in Lending; Real Estate Settlement Procedures; Home Mortgage Disclosure; National Flood Insurance; Equal Credit Opportunity; Fair Housing; Community Reinvestment Act; Electrontic Fund Transfer Act; Expedited Funds Availablility Act; Truth in Savings; Bank Secrecy Act; Anti-Money Laundering; Office of Foreign Assets Control; USA Patriot Act; Privacy Act.
