Mr. King specializes in financial and commercial transactions. His practice includes representation of publicly and privately held corporations in general corporate matters and transactional matters including joint ventures, mergers and acquisitions and lending transactions. He also represents high net-worth individuals in transactional and business matters. He counsels numerous banks in real estate and asset-backed commercial lending transactions and in general corporate and contractual matters.

Representative transactions include:

  • Drafted documentation for the US office of a major Dutch bank for a $120,000,000 loan to a major Chilean mining company

  • Drafted Strategic Alliance Agreement for a major data company for a U.S.$100,000,000 services contract with a major media to digitize text to a computer database

  • Drafted documentation for a major domestic bank for a $500,000,000 loan to a major Brazilian steel producer

  • Prepared securities filings including a Form 14d-9 for Travel Services International, Inc. in the sale of the company to Blue Sea Florida Acquisition Inc, a wholly-owned subsidiary of Airtours plc for approximately U.S.$385,000,000 via a tender offer subsequent to a bidding process

  • Drafted Credit Agreement and ancillary documentation for the US office of a major Dutch bank for a $100,000,000 loan to a partnership of two major Argentinean cable companies
